This Master End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "you") and BadBuddha Customs LLC ("Licensor", "we", "us", or "our") regarding the use of any NinjaTrader-compatible trading strategy, indicator, or add-on (collectively, the "Software") distributed by BadBuddha Customs LLC, whether on a subscription or one-time purchase basis.

By installing, subscribing to, or using any Software provided by BadBuddha Customs LLC, you agree to be bound by the terms of this Agreement.

1. Scope of Agreement

This Agreement applies to all software, strategies, and indicators developed or distributed by BadBuddha Customs LLC, including free, paid, subscription-based, and open-source versions. Additional product-specific terms may apply as disclosed at purchase or on the product page.

2. Grant of License

Subject to payment (if applicable) and compliance with this Agreement, BadBuddha Customs LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Software on a single NinjaTrader installation.

3. Subscription and License Duration

For subscription-based Software, the license is valid only for the duration of the active subscription. Failure to maintain an active subscription will result in license termination and automatic deactivation.

For one-time purchases, the license is perpetual unless otherwise stated, but still subject to compliance with this Agreement.

4. Open-Source Components

Some Software provided by BadBuddha Customs LLC may include or be entirely released as open-source. Where applicable, such Software will be clearly marked and may be governed by additional licenses (e.g., MIT, GPL). You are responsible for reviewing and complying with any applicable open-source license terms.

The use of open-source components does not waive BadBuddha Customs LLC's copyright on any proprietary elements included alongside them.

5. Restrictions

You may not:

• Share, resell, sublicense, or redistribute the Software without written permission

• Reverse engineer, decompile, or disassemble the Software

• Modify or create derivative works, unless explicitly permitted (e.g., open-source releases)

• Bypass license enforcement or activation mechanisms

6. Installation and Activation

The Software is licensed per NinjaTrader User ID, not per machine. This means you may install and use the Software on multiple systems (e.g., desktop, laptop, VPS) provided they are all running under the same NinjaTrader User ID associated with your license.

You may not share your license with other NinjaTrader users or install the Software on systems running under a different NinjaTrader User ID. License transfers to a different NinjaTrader User ID require prior written approval from BadBuddha Customs LLC.

7. No Refunds

All purchases are final. No refunds are provided for dissatisfaction, technical issues, or unused time. Review system requirements before purchase. For more details, refer to our No Refund Policy.

8. Updates and Support

BadBuddha Customs LLC may provide updates, patches, or new versions of the Software at its sole discretion. For subscription-based products, updates are included for the duration of the active subscription. For one-time purchases, updates may be provided but are not guaranteed beyond the initial release.

Technical support is provided via email at info@badbuddhacustoms.com. Response times may vary and are not guaranteed.

9. Data Collection and Privacy

The Software may collect your NinjaTrader User ID and related technical identifiers solely for the purpose of license activation and enforcement. We do not collect trading data, account information, or personal financial data through the Software.

10. Intellectual Property

All Software, including source code, compiled binaries, documentation, and associated materials, is the exclusive intellectual property of BadBuddha Customs LLC and is protected by applicable copyright and intellectual property laws. Your license does not grant ownership of the Software.

11. Termination

This Agreement is effective until terminated. Breach of terms or subscription lapse will result in automatic license revocation. You must delete all copies of the Software upon termination.

12. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, express or implied. No guarantees are made regarding performance, profitability, or error-free operation. Trading involves substantial risk of loss and is not suitable for all investors.

13. Limitation of Liability

BadBuddha Customs LLC shall not be liable for any trading losses, financial damages, or consequential damages arising from the use of the Software. Total liability is limited to the amount paid for the most recent billing period or transaction.

14. Governing Law

This Agreement is governed by the laws of the State of Wisconsin, United States. Any disputes arising under this Agreement will be resolved exclusively in the state or federal courts located in Wisconsin.

15. Changes to This Agreement

BadBuddha Customs LLC reserves the right to update or modify this Agreement at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Software constitutes acceptance of the revised terms.
